These Terms and Conditions (“Terms”) govern your access to and use of the website at dmwebconsult.com and the web modernization consulting services operated by DataMaps WebConsulting LLC (“DataMaps,” “we,” or “us”), a Wyoming limited liability company. By using this Site, submitting a form, or engaging our services, you agree to these Terms.
1. Acceptance & Eligibility
You must be at least 18 years old and authorized to act on behalf of any business you represent. If you do not agree to these Terms, do not use the Site or submit inquiries.
2. Contact Forms, Audit Requests & URL Authorization
Our Site currently offers contact and free-audit request forms. Submissions are reviewed manually by our team. An automated website analyzer is planned but is not yet live on this Site.
By submitting a website URL through our forms, you represent and warrant that:
- You are the legal owner of the target business, domain, or web application, or
- You have explicit authorization from the owner to request a review of that website on their behalf.
DataMaps may decline or discard inquiries involving URLs you are not authorized to discuss. When automated scanning tools launch, additional terms will apply and will be disclosed before use.
3. Free Audit Offer
The “free audit” is a complimentary, no-obligation manual review of your submitted website URL. It includes a general assessment of common issues (mobile usability, speed indicators, security basics, and conversion structure) delivered via email. It does not constitute a guaranteed fix, binding quote, or ongoing service unless you separately enter a paid agreement. We may limit free audits to one per business entity.
4. Disclaimer of Warranties & Limitation of Liability
All metrics, assessments, mockup previews, and business-impact statements on this Site or in audit communications are provided “AS IS” and “AS AVAILABLE” for informational and illustrative purposes only. DataMaps disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We make no guarantees regarding revenue changes, search-engine rankings, conversion rates, uptime, or specific performance scores. Results vary by legacy site condition, market, and project scope.
To the maximum extent permitted by Wyoming law, DataMaps's total liability for any claim arising from your use of the Site or free audit shall not exceed the greater of (a) $100 USD or (b) the amount you paid DataMaps in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
5. Indemnification
You agree to indemnify and hold harmless DataMaps, its members, and contractors from any claim, loss, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your unauthorized submission of a third-party URL, or your misuse of the Site.
6. Acceptable Use
You agree not to:
- Submit false, misleading, or unauthorized information through our forms.
- Attempt to disrupt, probe, or reverse-engineer the Site or our infrastructure.
- Use the Site for unlawful purposes or in violation of applicable regulations.
- Scrape, harvest, or automate access to the Site without our written consent.
7. Pricing, Payments & Refund Policies
- Custom Project Pricing: Paid engagements use variable, value-based pricing based on project complexity (e.g., CMS integration, content volume, integrations).
- No-Refund Policy: Initial alignment deposits and staging fees are non-refundable once design planning has commenced, due to the customized nature of our work.
- Maintenance & Hosting: Recurring services bill monthly. Clients may cancel with 30 days' written notice. Upon termination and payment of outstanding invoices, we deactivate managed hosting and deliver standalone source code for the client's site.
8. Intellectual Property & Client Ownership
- Client Deliverables: Upon full payment of agreed fees, the client owns the finalized page layouts, design visuals, and textual content built for their business and may self-host or migrate the code.
- DataMaps Retained IP: Our internal development engines, scraper tools, scanners, pipeline scripts, system rules, and compilation frameworks remain our exclusive property. No license to our internal infrastructure is transferred.
- Site Content: All content on dmwebconsult.com (text, design, branding) is owned by DataMaps unless otherwise noted. Unsplash photos are used under the Unsplash License with attribution.
9. Copyright & DMCA
We respect intellectual property rights. If you believe content on our Site infringes your copyright, see our DMCA Policy for notice-and-takedown procedures.
10. Governing Law & Jurisdiction
These Terms are governed by the laws of the United States and the State of Wyoming, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction of state and federal courts located in Wyoming for any dispute arising from these Terms.
11. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any signed service agreement, constitute the entire agreement regarding use of the Site.
- Modification: We may update these Terms by posting a revised version with a new “Last Updated” date. Material changes to paid services require notice to active clients.
- Severability: If any provision is unenforceable, the remaining provisions remain in effect.
- Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, infrastructure outages, government actions, etc.).
